Terms and conditions - MAPFRE’s Agency Profiler and Policy Life Expectancy Calculation

Amendment #1 to the Customer Subscription Agreement


This Amendment #1 to the Customer Subscription Agreement (“Amendment #1”) is effective as of ____________   (“Amendment #1 Effective Date”) and amends that certain Customer Subscription Agreement by and between Agentero, Inc. (“Agentero”) and [AGENCY] (“Agent”), dated ____________   (“Agreement”).

Whereas, the Agent wishes to make available to The Commerce Insurance Company and its insurance company affiliates (collectively, “MAPFRE”) certain Agent information so that MAPFRE may provide services to the Agent; and
 
Whereas, Agentero is willing to make available to MAPFRE the Subscription Services via the Agentero Platform to the same extent as such Subscription Services via the Agentero Platform are made available to Agent; and

Whereas, Agentero and Agent wish to amend the terms under the Agreement to permit Agentero to make information available to MAPFRE on the terms and conditions set out herein;

Now, therefore, in consideration for the promises herein, the sufficiency of which is hereby acknowledged, the parties agree as follows:


1.	Notwithstanding any provisions of the Agreement to the contrary, Agent hereby grants to Agentero a right to sublicense the Customer Content (as defined in the Agreement) to MAPFRE.  Agent consents to Agentero’s sharing of Customer Content, other Agent information, and account access, with MAPFRE. 

2.	Except as set forth herein, the terms and conditions of the Agreement remain in full force and effect.  In the event of any conflict between the terms of this Amendment #1 and the Agreement, this Amendment #1 shall prevail.  This Amendment #1 and the Agreement contain the entire understanding of the parties on the subject matter hereof.

(Dashboard Profiler)


This Amendment #1 to the Customer Subscription Agreement (“Amendment #1”) is effective as of ____________   (“Amendment #1 Effective Date”) and amends that certain Customer Subscription Agreement by and between Agentero, Inc. (“Agentero”) and [AGENCY] (“Agent”), dated ____________   (“Agreement”).

Whereas, the Agent wishes to make available to The Commerce Insurance Company and its insurance company affiliates (collectively, “MAPFRE”) certain so-called “Agency Profiler” information (the “Agentero Dashboard”) so that MAPFRE may provide services to the Agent; and
 
Whereas, Agentero is willing to make available to MAPFRE the Agentero Dashboard in the form the Agentero Dashboard is made available to Agent; and

Whereas, Agentero and Agent wish to amend the terms under the Agreement to permit Agentero to make the Agentero Dashboard available to MAPFRE on the terms and conditions set out herein;

Now, therefore, in consideration for the promises herein, the sufficiency of which is hereby acknowledged, the parties agree as follows:

Notwithstanding any provisions of the Agreement to the contrary, Agent hereby grants to Agentero a right to make available to MAPFRE the information presented in the Agentero Dashboard in the same form and to the same extent such information is provided to Agent.  Agent consents to Agentero’s sharing of the Agentero Dashboard with MAPFRE.

In the event of any conflict between the terms of this Amendment #1 and the Agreement, this Amendment #1 shall prevail.
